Senior Corporate Attorney

Our client, a dynamic and rapidly growing organization, is seeking a highly experienced Senior Corporate Attorney to join their fully remote legal department. This role is critical for providing comprehensive legal support across a broad spectrum of corporate matters. You will be instrumental in advising senior management and various business units on legal and compliance issues, ensuring the company operates within legal boundaries and upholds its ethical standards.

The ideal candidate will have a strong background in corporate law, including experience with contracts, compliance, litigation management, and corporate governance. You will be responsible for drafting, reviewing, and negotiating a wide variety of commercial agreements, developing and implementing corporate policies, and managing external legal counsel. A key aspect of this role involves proactively identifying and mitigating legal risks, and providing strategic legal counsel to support business objectives.

This position demands an individual with exceptional analytical, problem-solving, and communication skills. You must be adept at managing multiple priorities in a fast-paced environment and possess the ability to work independently while maintaining strong collaborative relationships with internal stakeholders across different departments and geographic locations. As a fully remote role, candidates must demonstrate strong self-discipline, organizational skills, and proficiency with remote collaboration tools.

Responsibilities:

• Provide expert legal advice on a wide range of corporate matters, including commercial contracts, compliance, and corporate governance.
• Draft, review, and negotiate various commercial agreements, including vendor contracts, service agreements, and partnership agreements.
• Develop, implement, and maintain corporate policies and procedures.
• Manage and oversee corporate litigation matters, working with outside counsel.
• Advise on regulatory compliance and risk management strategies.
• Support corporate finance transactions, including equity and debt financings.
• Assist with mergers, acquisitions, and divestitures as needed.
• Conduct legal research and prepare legal memoranda.
• Serve as a trusted advisor to business teams and senior management.
• Ensure timely and accurate legal support for all business operations.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the Ohio Bar or eligibility for admission by reciprocity.
• 7+ years of relevant experience in corporate law, preferably with in-house experience.
• Extensive experience in drafting and negotiating commercial contracts.
• Strong knowledge of corporate governance, compliance, and regulatory matters.
• Proven ability to manage litigation and work effectively with outside counsel.
• Excellent analytical, strategic thinking, and problem-solving skills.
• Superior written and verbal communication and negotiation skills.
• Demonstrated ability to work independently and collaboratively in a remote setting.
• Strong organizational skills and ability to manage multiple projects simultaneously.
