Remote Senior Legal Counsel (Corporate)
Job Description
Our client is seeking an experienced Senior Legal Counsel with a strong background in corporate law to join their fully remote legal team. This position offers the flexibility to work from anywhere in the US, providing expert legal guidance and support to the organization without the need for a physical office presence. You will be responsible for handling a wide range of legal matters, including contract negotiation and drafting, corporate governance, regulatory compliance, and strategic legal advice. The ideal candidate will possess a Juris Doctor (J.D.) degree from an accredited law school, be admitted to at least one state bar, and have significant experience advising public or private companies. Your responsibilities will include reviewing and drafting commercial agreements, leases, and other legal documents. You will advise on corporate structuring, mergers and acquisitions, and corporate compliance matters. Providing counsel on employment law, intellectual property, and data privacy issues will also be part of your role. The Senior Legal Counsel will work closely with various business units to understand their needs and provide practical legal solutions. Managing outside counsel and overseeing litigation matters as needed will also be required. This role demands exceptional analytical skills, strong negotiation abilities, and the capacity to manage multiple complex legal projects simultaneously. Maintaining up-to-date knowledge of relevant laws and regulations is crucial. The ability to communicate complex legal concepts clearly and effectively to both legal and non-legal professionals is essential. This position requires a high degree of professionalism, integrity, and the ability to work independently in a remote setting. Contributing to the development and implementation of legal policies and procedures will be a key aspect. Proactive risk assessment and mitigation strategies are highly valued.

- Admission to practice law in at least one U.S. state.
- Minimum of 7 years of relevant legal experience, preferably with a focus on corporate law, commercial contracts, and compliance, either in-house or at a law firm.
- Proven experience in drafting, reviewing, and negotiating complex commercial agreements.
- Strong knowledge of corporate governance, securities law, and regulatory compliance.
- Excellent analytical, problem-solving, and critical-thinking skills.
- Exceptional written and verbal communication and negotiation skills.
- Experience managing legal projects and working collaboratively with business teams.
- Ability to work independently, manage time effectively, and meet deadlines in a remote environment.
- Experience with intellectual property, data privacy, or employment law is a plus.
